Contract Negotiations & Dispute Resolution

Obtained a favorable settlement and insurance recovery near policy limits representing owner in multimillion-dollar construction defect action for a ski resort duplex project.

Class Action Litigation

Representing a large retailer in a putative class action lawsuit arising from the assessment of Portland’s Clean Energy Surcharge.

Insurance Recovery

Represented former rail car manufacturer in obtaining insurance coverage for environmental contamination arising from Portland Harbor Superfund site. Case resolved favorably after filing of insurance coverage complaint. Continue to represent client with respect to ongoing coverage issues related to defense and indemnity costs.

Mergers & Acquisitions; Strategic Alliances

Guided a local technology services business through a merger with a competitor from another state, helping the business resolve complaints from a troublesome minority shareholder to complete the deal in a timely manner.

Timber & Agricultural Financing

Represented the agent and lead lender on $200 million credit facilities for a Northwest timber and wood products company. The collateral consisted of timber and mill properties in three states.

Mergers & Acquisitions

Represented company in a multimillion-dollar merger of a management service company with a multistate operating cannabis company. Negotiated, drafted, and closed complex transaction on an abbreviated timeframe.

Appellate—State Court Appeals

Washington State Bank v. Medalia, 96 Wn. App. 547, 984 P.2d 1041 (1999). Represented appellant Medalia Healthcare, LLC. Involved the question of whether a purchaser of secured assets had committed conversion by allegedly interfering with security interest.
