Represented multiple owners of small business entities in disputes over business ownership and operational issues, including claims for breach of fiduciary duty.
Drafted and advocated for local or state legislative amendments on behalf of clients or as volunteer member of committees to ensure good planning rules and regulations. Examples include proposed amendments to expand funding options for transportation benefit districts, to allow a school district partially located in a non-Growth Management Act county to collect impact fees, and to provide for a property tax exemption for school or college foundations.
Work with cannabis client on the acquisition and/or leasing of more than 20+ retail locations.
Assisted developer in acquiring and rehabilitating a rural Oregon affordable housing project that included 76 units across three separate multiunit complexes. Financing for the project included the assumption of USDA Rural Development loans, 9 percent Low-Income Housing Tax Credits, Oregon HOME, MEP, HTF, and GHAP funds, construction and bridge loans, and permanent financing subsidized by the Oregon Affordable Housing Tax Credit.

Assisted Barrett Business Services, Inc., in a $33 million follow-on underwritten offering of common stock.
Developed a separation agreement to remove a national general contractor midstream during construction of a large data center complex in Oregon, and to transition the remaining work to a follow-on contractor, along with the assignment of all existing subcontractors. The transition was fully successful, with no disputed termination or delay claims.
