In re Southern Pacific Funding Corporation. On the first day of trial, we settled an action involving a lender whose stock had been traded on a national exchange and that was forced to seek bankruptcy reorganization following a dramatic decline in its stock price. It was, at the time, the largest bankruptcy in state history.
Newman v. Comprehensive Care Corp. In this case, investors sued multiple defendants after failure of a proposed merger transaction that arose from a proxy solicitation. The complaint alleged violation of federal securities laws, RICO, and state law claims. In representing the investment banker, we obtained summary judgment before trial.
Represented a Southern Oregon company involved in a closely held business dispute among its shareholders, defending against allegations of minority oppression.
Represented a group of more than 60 investors that collectively lost millions of dollars arising out of the collapse of an Oregon investment company accused of defrauding investors, Aequitas Capital.
Represented individual clients involved in a closely held business dispute, defending against claims for common law fraud, breach of fiduciary duty, and claims under the Oregon Securities Law.
Represented a financial institution in a putative class action in state court asserting claims for breach of contract and violations of Oregon’s Unlawful Trade Practices Act, prevailing on motion to dismiss.
Obtained dismissal of putative consumer class action against publicly-traded financial institution involving allegations of breach of contract and Unfair Trade Practices Act.
Successfully defended public-traded company in federal securities class action. Case resolved after class certification.
Defended marketing, research, mortgage, and retail businesses in consumer protection litigation, including alleged violations of the Telephone Consumer Protection Act, Unfair Trade Practices Act, Electronic Funds Transfer Act, and common tort and contract claims.
