Represented ad hoc committee of secured lenders holding more than $100 million in secured debt in out-of-court restructuring of privately held defense contractor, including representation in connection with debt-for-equity swap, exempt securities issuance, and new debt financing.
Recovered $15 million in breach-of-contract, successor liability, fraudulent transfer, and corporate piercing action arising out of sale of business.
Represented broker-dealer in appeal from pretrial dismissal of negligence claims. Oregon Supreme Court concluded that the broker-dealer did not have a special relationship with investor that permitted assertion of tort claims. Boyer v. Salomon Smith Barney, 344 Or 583 (2008)
Represented transit agency in a multi-week condemnation trial. The trial involved a dispute over whether or not the transit agency’s light rail station specially benefited the property due to its proximity and a recent upzone of the property. The jury determined the property was specially benefitted by light rail and returned verdict matching the transit agency’s valuation evidence and $1.4 million less than the owner’s valuation. Drafted and provided legislative testimony on legislation amending Oregon PERS to protect defined benefit accounts for out-of-state public employees and prevent employee class action suit.
Defended employer in multi-week trial in state court regarding breach of contract and other state tort claims.
Defended commercial engine manufacturer in Washington state-court action involving allegations of negligent manufacture of a diesel engine.
Represented prospective stalking-horse bidder in In re LightSquared, Inc. (Bankr. S.D.N.Y., Case No. 13-12080), in connection with $1 billion bid for the acquisition of substantially all of LightSquared’s assets.
Obtained six-figure recovery on behalf of farmer based on breach of contract.
