Lead attorney representing subcontractor in a dispute with an out-of-state material supplier on a public project. Material supplier declared bankruptcy in its home state and claim resolved out of bankruptcy.
Represented major internet company in a multimillion-dollar sale of a data facility in central Washington State, involving structuring, negotiating, and drafting transaction documents and successfully navigating closing of transaction.
Negotiated favorably, early pre-litigation resolutions of disputes among owners of business, including buyouts and valuations of co-owner’s ownership interest.
Clopper v. Merrill Lynch Relocation Management, Inc. We prevailed on behalf of defendant in a jury trial, on appeal to the Ninth Circuit Court of Appeals in the primary action, as well as in ancillary proceedings against opposing counsel, also appealed to the Ninth Circuit. This case began as a real estate dispute over competing property appraisals.
Represented estate in negotiation and sale of large yacht construction business.
Represented general contractor in close-out dispute with subcontractor over warranty terms in light of known design errors. Negotiated a settlement involving use of subcontractor’s retention over life of warranty period.
Obtained six figure recoveries from multiple parties based on failed purchase and sale agreement.
Downs v. Waremart, Inc. The Oregon Supreme Court affirmed summary judgment on behalf of our client, the employer, on all claims except for defamation (an issue of first impression), which was resolved by settlement on remand. The case was brought by a discharged employee who sought damages for a variety of claims arising from her discharge, including defamation.
Represented early investor/employee of cannabis processing business in negotiated resolution of claim for stock initially denied to employee due to mischaracterization of status of employee in plan of merger.
