Represented an owner of an Oregon minor league baseball team in a state court lawsuit arising from a corporate governance and ownership dispute.
Represented managing member of limited liability company in dispute with former member involving business valuation and claims for breach of contract and usurpation of corporate opportunity.
Represented school district with respect to parent’s due process complaint asserting that the school district committed substantive and procedural violations of the Individuals With Disabilities Education Act (IDEA) and Section 504 of the Rehabilitation Act.

Counseled lender in $15 million revolving and term loans to fruit company.
Represented seller in the sale of a western Washington cannabis retail business. Structured, negotiated, and documented multimillion-dollar transaction which included multiple retail locations, the sale of real estate, and the transfer of leasehold interests.
Successfully defended retail chain through seven-week trial against wage and hour “joint employer” class-action claims by employees of vendor. Affirmed on appeal.
