About Jonathan
Jonathan Shallow guides companies from formation through exit, with deep experience in formation, financing, strategy, governance, and M&A. He advises clients across the U.S., Europe, and Asia, with a particular focus on helping non-U.S. companies successfully launch and grow in the United States.
Jonathan began his career in New York, where he represented public and pre-IPO companies, as well as major private equity firms and hedge funds. His work there included IPOs, public and private debt and equity offerings, strategic investments, and commercial lending transactions.
Since relocating to Seattle over a decade ago, Jonathan has shifted his focus to advising private companies at all stages of growth. He brings a practical, lifecycle-aware approach to structuring businesses for scale, investment, or exit—whether through M&A or IPO—tailoring his advice to meet clients where they are, and where they want to go.
His industry experience is broad, spanning AI, consumer products, clean water and energy, digital assets, real estate, transportation, manufacturing, and sports and entertainment. He has handled deals ranging from a few thousand dollars to several hundred billion, advising clients from solo founders to global market leaders. What drives him is curiosity—he loves learning about new technologies and business models and helping clients break into new markets or expand existing ones.
Before joining Miller Nash, Jonathan practiced at leading international law firms on both coasts of the United States.
