Review, draft, and negotiate general business agreements for school districts, colleges, and universities, including lease agreements, promissory notes and trust deeds, releases, waivers, policies, purchase and sale agreements, easements, intergovernmental agreements, license agreements, affiliation agreements, co-branding agreements, and services agreements.

• Represented a university in a lease and multi-year service contract for photocopiers, mail room services and copy room services.
• Represented a school district in documenting rights and obligations in a long-term collaboration with a nonprofit university.
• Represented a university in evaluating a potential merger, affiliation, or asset acquisition of another nonprofit organization.
• Represented a university in documenting the affiliation with another nonprofit organization.

Prepared employment agreements and offer letters for a merger between two bank holding companies, with twenty subsidiaries collectively.

Represented special servicer of $31.5 million securitized loan in connection with the foreclosure and acquisition of the retail mall located in downtown Salem, Oregon, commonly known as Salem Center.

Provided general counsel advice to city council and staff during and outside of city council meetings as former city attorney for a small town. (Experience prior to joining Miller Nash)

Arbitrated numerous consumer disputes involving financial, hospitality, and telecommunications services, and electronic and data products. Efficiently managed concurrent proceedings in multiple-consumer cases, as well as cases with unrepresented consumers. Awards issued on document submission or after telephonic hearing.

Negotiated with federal and state agencies regarding the scope and extent of the remedial investigation, feasibility, and cleanup at numerous contaminated sites, including sites with contaminated sediments and military munitions.

Resolved scores of cyber liability claims on behalf of commercial policyholders.

Negotiate license agreements for temporary uses of space, including classrooms, libraries, gymnasiums, and boat docks.

Routinely advises companies, both large and small, on employment-related issues such as leave laws, disability and accommodation, and wage-and-hour, and conducts performance reviews, as well as assists companies in developing internal investigation protocols and reviewing internal workplace policies.
