Assists with COBRA issues and preparing and reviewing required COBRA notices, including issues related to qualifying events, duration of COBRA coverage, and correction of COBRA failures.
Assist plan sponsors with the federal laws that apply to their group health plans, including the ACA, COBRA, HIPAA, USERRA, Medicare Part D, nondiscrimination rules applicable to self-insured health plans, mandated coverage and benefits, and ERISA's trust requirement. Also assist plan sponsors with the issues involving the coverage of domestic partners, including plan design and tax consequences.
Counsel plan sponsors regarding compliance with the ACA, including the play or pay rules, health coverage reporting, the tax exclusion and required coverage of adult children, the grandfathered plan rules, the rules regarding excepted benefits, the restrictions on lifetime and annual limits, preexisting condition exclusions, rescissions, the required notices to participants, and the internal and external claims review process. Helps plan sponsors respond to proposed penalties from the IRS for failing to offer health coverage or failing to do the required health coverage reporting.
Advises plan sponsors on all aspects of COBRA. Prepares and reviews COBRA notices. Assists plan sponsors with COBRA administration issues, including issues relating to qualifying events, COBRA notices, the applicable premium, correction of COBRA failures, early termination of COBRA coverage, duration of COBRA coverage, special rules for health FSAs, COBRA in mergers and acquisitions, and the coordination of COBRA and USERRA coverage.
Represented publicly traded company in SEC and DOJ investigation into potential securities law violations resulting from accounting issues.
Represented publicly traded mutual fund company in SEC investigation involving allegedly false and misleading marketing materials.
Represented a multinational pharmaceutical company in DOJ and SEC investigations of alleged FCPA violations in numerous countries.
Drafted and negotiated legislation creating a new type of special district for flood safety and water quality to manage the Columbia River levee system in north Multnomah County. ORS Chapter 550 passed in the 2019 Oregon Legislative Session. Currently assisting in implementation.
In prior legislative sessions, worked on legislation modifying drainage district authority, the urban growth boundary amendment process, land use appeal issues, and higher education governance.
Participated in state rulemaking under the Administrative Procedures Act with regard to urban growth review, energy facility citing, LUBA review process, and agency fee structures.
Drafted multiple intergovernmental agreements (IGAs), including agreements creating new intergovernmental entities. Recent agreements include:
- Drafted a five-party IGA settling the designation of the Stafford area as urban reserve, and a three-party IGA governing concept planning for Stafford.
- Drafting the ordinance and agreements for creation of a Joint Contracting Authority to serve four jointly managed special districts.
- Creation of the Levee Ready Columbia governance structure among four districts, four cities, a Port district, and a county, to work toward accreditation and certification of the Columbia River levee system.
- Drafting a coordination IGA for a Park and Recreation District.
