Defended a global corporation in a premises liability action, as part of a team of attorneys, in obtaining a dismissal of the case via a successful motion for summary judgment.
Cancer therapy start-up license agreement. Erich has long been outside general counsel for this cancer therapy start-up. He recently assisted the company with a major international license transaction in which the company’s therapeutic drug will be used in clinical trials in the U.S. and overseas.
Key supplier contract. Erich guided the drafting of a contract to be used by a client nationwide in procuring qualified mechanical and electrical maintenance services for its customers’ installed products.
Consulting contracts; NDAs. Erich routinely assists clients with NDAs, consulting agreements, technology and IP licenses, services contracts, and standard terms of sale.
Assist clients with entity formation, operating agreements, and other issues related to establishing a new business.
Performed due diligence for multi-tranche convertible debt offering for privately held, early-stage company.
Assisted with due diligence review and filings related to Cascade Corporation’s $760 million acquisition by Toyota Industries Corporation. The negotiated transaction was structured as a public tender offer followed by a merger of a subsidiary of Toyota Industries into Cascade in which all shares not acquired in the tender offer were acquired for the tender offer price. Prior to the transaction, Cascade was a public reporting company listed on the New York Stock Exchange.
Assisted privately held Widmer Brothers Brewing Company in a merger with Redhook Ale Brewery, Incorporated, in which Widmer shareholders received SEC-registered stock valued at $50 million.
Advise a wide range of entities and individuals in corporate formation, organization and drafting matters, including preparation of operating agreements and bylaws, shareholder and voting agreements, stock/unit purchase and sale agreements, promissory notes and security agreements, warrants, consents and resolutions, equity incentive plans and grants, and various service agreements.
